Article 1: Applicability and Legal Validity

  • 1.1 These general terms and conditions apply to all quotations, service agreements, and resulting contracts between the Contractor (Solar Volt) and its clients (hereinafter referred to as: “Client” – legal entities or companies acting as main contractors).
  • 1.2 The applicability of any purchase or other general terms and conditions of the Client is expressly rejected.
  • 1.3 If one or more provisions in these general terms and conditions are void or should be annulled, the remaining provisions shall remain fully in force.
  • 1.4 Technical Errors Clause: The Contractor does not guarantee that the text is free of printing, language, technical errors, and/or omissions. Their presence cannot be a ground for non-compliance or release from obligations.

Article 2: Quotations, Prices, and Additional Work (Meerwerk)

  • 2.1 All quotations issued by the Contractor are binding for a period of 30 days after the date of issuance.
  • 2.2 All prices are in euros (€) and exclusive of VAT, unless expressly agreed otherwise.
  • 2.3 The Contractor has the right to charge for additional work (meerwerk), including: unforeseen roof structure/electrical complications, project changes requested by the Client during execution, or distribution board adjustments to meet NEN 1010 / NEN 3140 safety standards.

Article 3: Execution of Service and Independence

  • 3.1 The Contractor executes work independently according to its own professional insight, complying with technical standards (NEN 1010, NEN 3140) and Scope 12 insurance standard requirements.
  • 3.2 No employment relationship or fictitious employment relationship exists between the Client and the Contractor in accordance with the Wet DBA.
  • 3.3 The Contractor has the right, at its own discretion, to deploy a qualified substitute (another independent ZZP specialist) for the execution of the work, after verbal or written notification to the Client. The Contractor remains responsible for quality.

Article 4: Site Preparation, Material Quality Requirements, and Force Majeure (Overmacht)

  • 4.1 The Client ensures free, clean, and safe access to the location, as well as free use of electricity and water.
  • 4.2 The Client ensures certified scaffolding, fall protection at heights, and conditions complying with the Dutch Working Conditions Act (Arbowet).
  • 4.3 Specific Material Quality and Insurance Requirements: In the context of the Contractor’s applicable insurance conditions, the Client is obliged to exclusively supply PV systems and components that meet the following quality requirements:
    • The solar panels to be installed must hold a certificate of compliance with IEC–EN 61730-1&-2, and either IEC-EN 61215 (Crystalline modules) or IEC-EN 61646 (thin film modules). This certificate must be issued by an EN/ISO 45011 accredited certification body (such as TÜV or Kiwa).
    • The inverters used must hold a certificate of compliance with the Low Voltage Directive, EMC Directive, and the Grid connection and efficiency requirements as stated in NEN 1010.
    If the Client supplies materials that do not meet these requirements, any liability of the Contractor for damage directly or indirectly resulting from these defective or non-certified components shall be entirely void.
  • 4.4 Call-out Fees and Waiting Time (Loze voorrijdkosten): If the team cannot start or continue work due to Client’s omissions (missing materials/scaffolding/access), the Client owes an abortive call-out fee fixed at €250,- exclusive of VAT per person. Waiting time is invoiced at €45,- exclusive of VAT per hour for each team member.
  • 4.5 Force Majeure (Overmacht): Weather conditions endangering life on the roof (heavy rain, snow, black ice, storm, or wind speed of 6 Beaufort and higher) constitute force majeure. The Contractor may suspend work without penalties.

Article 5: Payment Terms and Right of Suspension (Opschortingsrecht)

  • 5.1 Invoices must be paid within 14 days of the invoice date.
  • 5.2 Payment cannot be made dependent on whether or when the end customer pays the Client.
  • 5.3 Exceeding the term automatically puts the Client in default. Statutory commercial interest and collection costs apply.
  • 5.4 Right of Suspension (Opschortingsrecht): If an invoice is overdue, the Contractor may immediately suspend execution of all projects for that Client without liability for damage.

Article 6: Delivery and Completion of Work (Oplevering)

  • 6.1 Completion is transferred via verbal notice, delivery protocol, or digital photographs.
  • 6.2 Work is considered officially delivered and approved if the protocol is signed, or automatically 7 days after completion notice if no written detailed objection is received.

Article 7: Limitation of Liability

  • 7.1 Liability for damage is strictly limited to a maximum of the invoice amount of the respective project (or the professional liability insurance limit).
  • 7.2 Liability for consequential damage (lost profits, loss of income from non-generated electricity, business interruption) is explicitly excluded.

Article 8: Warranty and Exclusions

  • 8.1 The Contractor grants a warranty of 2 years solely and exclusively on the quality of mounting and installation work.
  • 8.2 The warranty explicitly DOES NOT cover factory defects or reduced efficiency of components (panels, inverters, batteries). Manufacturer warranties apply.
  • 8.3 The warranty lapses immediately if unauthorized third parties perform modifications or repairs.
  • 8.4 Warranty Exclusions: Excludes extreme weather, dirt deposits, independent software setting modifications, lightning strikes, storm, frost, heavy snow, hail, vandalism, or theft.

Article 9: Applicable Law and Disputes

  • 9.1 Exclusively governed by Dutch law.
  • 9.2 Disputes will be submitted to the competent court in the district where the Contractor is established.

Artikel 1: Toepasselijkheid en Rechtsgeldigheid

  • 1.1 Deze algemene voorwaarden zijn van toepassing op alle offertes, overeenkomsten van opdracht en daaruit voortvloeiende overeenkomsten tussen de Opdrachtnemer (Solar Volt) en haar opdrachtgevers (hierna te noemen: “Opdrachtgever” – rechtspersonen of bedrijven die optreden als hoofdaannemer).
  • 1.2 De toepasselijkheid van eventuele inkoop- of andere algemene voorwaarden van de Opdrachtgever wordt uitdrukkelijk van de hand gewezen.
  • 1.3 Indien één of meerdere bepalingen in deze algemene voorwaarden nietig zijn of vernietigd mochten worden, blijven de overige bepalingen volledig van kracht.
  • 1.4 Clausule technische fouten: Opdrachtnemer garandeert niet dat de tekst vrij is van druk-, taal-, technische fouten en/of weglatingen. Dit kan geen grond zijn voor non-compliance of het niet nakomen van verplichtingen.

Artikel 2: Offertes, Prijzen en Meerwerk

  • 2.1 Alle offertes zijn bindend voor een termijn van 30 dagen na de datum van uitgifte.
  • 2.2 Alle prijzen zijn in euro’s (€) en exclusief BTW, tenzij uitdrukkelijk anders overeengekomen.
  • 2.3 Opdrachtnemer heeft het recht om extra werkzaamheden als meerwerk in rekening te brengen, waaronder: onvoorziene dakcomplicaties, wijzigingen door de klant tijdens de uitvoering, of het aanpassen van groepenkasten conform NEN 1010 / NEN 3140.

Artikel 3: Uitvoering van de Dienst en Zelfstandigheid

  • 3.1 Opdrachtnemer voert de werkzaamheden zelfstandig uit conform technische normen (NEN 1010, NEN 3140) en de eisen van de verzekeringsnorm Scope 12.
  • 3.2 Er bestaat geen gezagsverhouding of fictieve dienstbetrekking conform de Wet DBA tussen Opdrachtgever en Opdrachtnemer.
  • 3.3 Opdrachtnemer heeft het recht om naar eigen inzicht een gekwalificeerde vervanger (een andere onafhankelijke ZZP-specialist) in te zetten voor de uitvoering van de werkzaamheden, na mondelinge of schriftelijke kennisgeving aan de Opdrachtgever. Opdrachtnemer blijft verantwoordelijk voor de kwaliteit.

Artikel 4: Voorbereiding van de Locatie, Kwaliteitseisen en Overmacht

  • 4.1 Opdrachtgever zorgt voor vrije, schone en veilige toegang tot de locatie, evenals gratis gebruik van elektriciteit en water.
  • 4.2 Opdrachtgever zorgt voor gecertificeerde steigers, valbeveiliging en omstandigheden conform de Nederlandse Arbeidsomstandighedenwet (Arbowet).
  • 4.3 Specifieke Kwaliteits- en Verzekeringseisen voor Materialen: In het kader van de geldende verzekeringsvoorwaarden van de Opdrachtnemer, is de Opdrachtgever verplicht uitsluitend PV-systemen en componenten aan te leveren die aan de volgende kwaliteitseisen voldoen:
    • De zonnepanelen die worden geïnstalleerd hebben een certificaat voor het voldoen aan IEC–EN 61730-1&-2, en ofwel IEC-EN 61215 (Crystalline modules) of IEC-EN 61646 (thin film modules). Dit certificaat moet zijn uitgegeven door een EN/ISO 45011 geaccrediteerde certification body (zoals TÜV of Kiwa).
    • De omvormers die worden gebruikt hebben een certificaat voor het voldoen aan de Low Voltage Directive, EMC Directive en de Grid connection and efficiency requirements zoals genoemd in NEN 1010.
    Indien de Opdrachtgever materialen aanlevert die niet aan deze eisen voldoen, vervalt elke aansprakelijkheid van de Opdrachtnemer voor schade die direct of indirect het gevolg is van deze defecte of niet-gecertificeerde componenten.
  • 4.4 Loze voorrijdkosten en wachttijd: Indien de werkzaamheden niet kunnen starten door toedoen van de Opdrachtgever (ontbreken materialen/steigers/toegang), is de Opdrachtgever loze voorrijdkosten verschuldigd ad € 250,- exclusief BTW per persoon. Wachttijd op locatie wordt gefactureerd tegen € 45,- exclusief BTW per uur per persoon.
  • 4.5 Overmacht: Weersomstandigheden die levens in gevaar brengen (hevige regen, sneeuwval, ijzel, storm of een windsnelheid van 6 Beaufort en hoger) gelden als overmacht. Opdrachtnemer mag het werk staken zonder boetes.

Artikel 5: Betalingstermijnen en Opschortingsrecht

  • 5.1 Facturen dienen te worden voldaan binnen 14 dagen na de factuurdatum.
  • 5.2 Betaling kan niet afhankelijk worden gesteld van betaling door de eindklant aan de Opdrachtgever.
  • 5.3 Bij overschrijding is de Opdrachtgever automatisch in verzuim. Wettelijke handelsrente en incassokosten kunnen in rekening worden gebracht.
  • 5.4 Opschortingsrecht: Indien een factuur openstaat, mag Opdrachtnemer de uitvoering van alle lopende projecten van dezelfde Opdrachtgever onmiddellijk opschorten zonder aansprakelijkheid voor schade.

Artikel 6: Oplevering van de Werkzaamheden

  • 6.1 Oplevering geschiedt via mondelinge mededeling, opleverdocument of digitale foto’s.
  • 6.2 Het werk geldt als goedgekeurd bij ondertekening protocol óf automatisch 7 dagen na kennisgeving indien er geen schriftelijk gemotiveerd bezwaar is ingediend.

Artikel 7: Beperking van Aansprakelijkheid

  • 7.1 Aansprakelijkheid voor schade is strikt beperkt tot maximaal het facturbedrag van het project (of het gedekte bedrag van de aansprakelijkheidsverzekering).
  • 7.2 Aansprakelijkheid voor gevolgschade (gederfde winst, verlies van inkomsten door niet-gegenereerde stroom, bedrijfsonderbreking) is uitdrukkelijk uitgesloten.

Artikel 8: Garantie en Uitsluitingen

  • 8.1 Opdrachtnemer verleent een garantie van 2 jaar uitsluitend op de kwaliteit van de montage- en installatiewerkzaamheden.
  • 8.2 De garantie dekt NIET fabrieksfouten of verminderd rendement van componenten (panelen, omvormers, accu’s). Hiervoor geldt de fabrieksgarantie.
  • 8.3 De garantie vervalt indien onbevoegde derden wijzigingen of reparaties uitvoeren.
  • 8.4 Garantieuitsluitingen: Uitgesloten zijn extreme weersomstandigheden, vervuiling, zelfstandige software-aanpassingen, blikseminslag, storm, hagel, vandalisme, diefstal of gebruik buiten fabrieksspecificaties.

Artikel 9: Toepasselijk Recht en Geschillen

  • 9.1 Uitsluitend Nederlands recht is van toepassing.
  • 9.2 Geschillen worden voorgelegd aan de bevoegde rechter in het arrondissement van Opdrachtnemer.
